organization; we are a structured ecosystem that merges high-stakes spiritual

commitment with long-term charitable impact.

The entire venture is governed by the Lions Den Legacy Trust, which protects our

core mission and intellectual property (IP) while overseeing three distinct, specialized

entities working in concert:

1. The Lions Den Tattoo Guild (501c7) - The Social Engine

This is the exclusive membership club that facilitates the Rite of Passage. It is the operational heart that manages the fifty (50) private Tattoo Dens and hosts the annual social Expos. The Guild's primary focus is providing the social, recreational, and ritualistic environment needed for members to complete their spiritual journey and earn their permanent badge of commitment.

2. The Lions Den Coin Collective (LLC) - The Financial Engine

This for-profit entity acts as the transparent supply chain and loyalty engine. It produces, tracks, and sells the proprietary LDT Coin Tokens (used as member rewards and coupons) to the Guild, ensuring a high-integrity, centralized method for managing member loyalty and transactional data across the entire ecosystem.

3. The Lions Den Charity Foundation (501c3) - The Moral Core

This non-profit organization is the true destination of our mission. It receives tax-deductible contributions, directs all philanthropic efforts, and provides grants, scholarships, and educational classes focused on art, health, and foundation-building in children's lives. This entity is the beneficiary of the long-term, 20-Year Legacy Fund, ensuring that every permanent pact made in the Guild translates directly into generational support.

In essence: Patrons join the Guild for the ultimate permanent commitment ritual. Their loyalty is tracked by the Coin Collective. The revenue generated by this exclusive social club directly feeds and sustains the Charity Foundation, fulfilling the central mandate of Jesus Christs Great Commission through lasting, tangible service.

The Lions Den Coin Collective, LLC

Articles of Incorporation

ARTICLE I: Name

The name of the Limited Liability Company is The Lions Den Coin Collective, LLC (the "Collective").

ARTICLE II: Purpose

The purpose of the Collective is to engage in any lawful act or activity for which a Limited Liability Company may be organized under the laws of this state, including, without limitation:

A. The creation, production, and governance of the digital and physical Coin Tokens ("LDT Coins").

B. The wholesale sale and distribution of LDT Coins to the Lions Den Tattoo Guild for use as member coupons and rewards.

C. Tracking and managing the LDT Coin loyalty program data.

D. Generating revenue and profit through commercial activities to benefit its members/owner(s).

ARTICLE III: Duration

The period of duration for the Collective shall be perpetual unless dissolved sooner in accordance with its operating agreement.

ARTICLE IV: Ownership and Management

Identify the Registered Agent, Members, and Manager(s). This LLC shall be owned by The Lions Den Legacy Trust.

The Lions Den Charity Foundation

Articles of Organization

ARTICLE I: Name

The name of the Corporation is The Lions Den Charity Foundation (the "Foundation").

ARTICLE II: Purpose

The Foundation is organized exclusively for religious, charitable, and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under said section.

ARTICLE III: Specific Charitable Activities

The Foundation shall engage in specific activities to further its exempt purposes, including, but not limited to:

A. Providing aid, assistance, and education to children through grants, scholarships, and educational classes focused on art, health, and foundational life skills.
B. Conducting fundraising events and campaigns, including the annual Charity Gala, to support charitable efforts.
C. Providing resources and relief to children and families affected by natural disasters, economic hardship, and family crises.
D. Receiving grants and donations from private and public sources to further its charitable mission.

ARTICLE IV: Dissolution Clause

Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.

ARTICLE V: Religious and Non-Profit Limitations

No part of the net earnings of the Foundation shall inure to the benefit of, or be distributable to, its members, trustees, officers, or other private persons, except that the Foundation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof.

The Lions Den Legacy Trust

Outline of Key Provisions

I. Establishment and Name

Trust Name: The Lions Den Legacy Trust.
Purpose: To hold, protect, and manage the assets and Intellectual Property (IP) associated with The Lions Den brand, and to oversee the governance of the affiliated entities (Foundation, Guild, Coin Collective).

II. Trustees

Identify the initial Trustee(s) and the method for appointing successor Trustees.

III. Trust Assets

Define the core assets held by the Trust (e.g., Trademarks, Logos, brand IP, and ownership interests in the Coin Collective LLC).
IV. Governance and Oversight
Outline the fiduciary duties of the Trustees in ensuring the affiliated entities adhere to the overall mission and legal requirements (e.g., ensuring the Guild maintains its 501(c)(7) status; ensuring the Foundation adheres to its 501(c)(3) mission).

V. Beneficiaries

The primary beneficiary of the Trust's charitable distributions shall be The Lions Den Charity Foundation, ensuring the long-term flow of brand revenue toward the mission.

Articles of Incorporation

ARTICLE I: Name

The name of the Corporation is The Lions Den Tattoo Guild (the "Guild").

ARTICLE II: Purpose

The Guild is organized exclusively for pleasure, recreation, and other nonprofitable social purposes, and no part of its net earnings shall inure to the benefit of any private shareholder or individual, except as provided by law, under Section 501(c)(7) of the Internal Revenue Code.

ARTICLE III: Specific Social Activities and Membership

The Guild shall operate for the mutual benefit of its members and shall engage in the following activities:

A. Membership & Ritual: Providing a closed-circuit social club where membership is granted only through the payment of initiation fees and the completion of a permanent, ritualistic Rite of Passage (tattoo).

B. Social Operation: Operating and maintaining fifty (50) private "Tattoo Dens" across the country exclusively for the recreational and social use of members for the purpose of the Rite of Passage.

C. Events: Organizing and hosting annual social events and gatherings, including fifty (50) annual Tattoo Expos and Conventions, primarily for the pleasure and recreation of members.

D. Assets: Generating initiation fees, dues, and activity fees to fund the exclusive, nonprofitable social activities and communal assets (staff salaries, den maintenance, and event hosting) of the Guild.

ARTICLE IV: Limitations on Non-Member Income

The Guild shall ensure that substantially all of its activities are for the pleasure, recreation, and social purposes of its members. Revenue from sources outside of membership dues, initiation fees, and member-related activity fees shall not exceed the non-member income limitations established by Section 501(c)(7) of the Internal Revenue Code.

ARTICLE V: Dissolution Clause

Upon the dissolution of the Guild, any remaining assets, after settling all liabilities, shall be distributed to a non-profit organization described in Section 501(c)(3) of the Internal Revenue Code (preferably The Lions Den Charity Foundation).

The Lions Den Charity Foundation is dedicated to fulfilling the mandate of the Great Commission through lasting, tangible service. We build a 20-year legacy of aid by investing in the spiritual, artistic, and physical foundations of future generations.

Our Mandate:

To translate the permanent pacts forged by the Guild's membership into sustainable resources, providing grants, scholarships, education, and compassionate relief to children and adolescents facing hardship, thereby ensuring the courage of today's commitment becomes the unwavering foundation of tomorrow's leaders.

The Lions Den Tattoo Guild is dedicated to fostering the exclusive social and recreational bonding of its members through the enduring ritual of the Rite of Passage.

Our Mandate:

To provide the premier, nonprofitable environment and resources (the Tattoo Dens and annual Expos) necessary for members to fulfill their ultimate permanent pact. We facilitate the communal labor, artistic guidance, and social fellowship that earns the member their badge of commitment and strengthens the collective purpose of the Guild.

The Lions Den Coin Collective, LLC

Operating Agreement

ARTICLE I: General Provisions

Section 1.01 Name: The name of the LLC is The Lions Den Coin Collective, LLC.
Section 1.02 Purpose: The purpose of the Collective is to engage in profitable, lawful commercial activity, primarily the production, tracking, and sale of the LDT Coin Tokens, and to distribute profits to its owner(s) (The Lions Den Legacy Trust).

ARTICLE II: Management and Ownership

Section 2.01 Management: The Collective shall be managed by one or more Managers appointed by the Member(s) [or Trust].
Section 2.02 Member(s): The sole Member of the Collective is [The Lions Den Legacy Trust].

ARTICLE III: LDT Coin Operations

Section 3.01 Coin Production: The Collective shall be the exclusive entity responsible for the production, valuation, and tracking of the LDT Coin Tokens used in the loyalty and rewards program of the Lions Den Tattoo Guild.
Section 3.02 Commercial Sales: The Collective shall engage in the commercial sale of LDT Coins to the Lions Den Tattoo Guild at a price intended to generate profit.

ARTICLE IV: Financial Management and Distribution

Section 4.01 Profits: Net profits of the Collective shall be distributed to the Member(s) [Trust] on a [Frequency, e.g., quarterly] basis.
Section 4.02 Tax Status: The Collective shall be treated as a disregarded entity for federal tax purposes [or selected S-Corp/C-Corp status], with all profits/losses flowing to the Member(s).

ARTICLE V: Amendments

This Operating Agreement may be amended by the written consent of the Member(s) [Trust].

Bylaws of The Lions Den Charity Foundation (501c3)

ARTICLE I: Name and Purpose

Section 1.01 Name: The name of the organization is The Lions Den Charity Foundation.
Section 1.02 Purpose: The Foundation is organized exclusively for charitable, religious, and educational purposes as specified in the Articles of Incorporation and Section 501(c)(3) of the Internal Revenue Code.

ARTICLE II: Board of Directors

Section 2.01 Authority: The Board of Directors shall manage the business and affairs of the Foundation.
Section 2.02 Number and Term: The Board shall consist of no fewer than$$Three$$
directors. Directors shall serve staggered terms of$$Three$$
years.
Section 2.03 Fiduciary Duty: Directors shall act in good faith and in the best interest of the Foundation, upholding the highest standards of transparency and fiduciary duty in the allocation of charitable funds.

ARTICLE III: Meetings

ARTICLE I: Name and Purpose

Section 1.02 Purpose: The Guild is organized exclusively for the pleasure, recreation, and social purposes of its members, consistent with Section 501(c)(7) of the Internal Revenue Code.

ARTICLE II: Membership

Section 2.01 Eligibility: Membership is exclusive and conditional upon the successful completion of the Rite of Passage (tattoo) and payment of the non-refundable initiation fees and annual dues (Patriot, Paladin, Prophet tiers).
Section 2.02 Membership Classes: Membership shall consist of the four defined ranks: Pauper, Patriot, Paladin, and Prophet, as detailed in the membership policy.
Section 2.03 Use of Assets: The Tattoo Dens and all Guild assets are maintained exclusively for the recreational and social use of its active members.

ARTICLE III: Board of Governors

Section 3.01 Authority: The Board of Governors shall oversee the operational and social management of the Guild and the affiliated Dens.
Section 3.02 Non-Inurement: No part of the net earnings of the Guild shall inure to the benefit of any private shareholder or individual. Compensation paid to staff (Master Artisans, Den managers) must be reasonable and paid for services rendered to further the Guild’s social and recreational activities.

ARTICLE IV: Financial Management

Section 4.01 Income Limitation: Revenue from non-member activities (e.g., investment income, rental of property) shall not exceed 35% of the Guild's gross receipts, and net investment income shall not exceed 15%. Strict accounting shall be maintained to demonstrate compliance with this social club requirement.

ARTICLE V: Amendments

These Bylaws may be amended by a two-thirds vote of the Board of Governors.
